Board of Directors

Mission

The Board of Directors determines Neovacs’ strategic direction and oversees its implementation. It involves itself in any question relating to the successful development of the Company and guides, via its discussions, the matters relevant to it. In this regard, the Board of Directors is responsible for approving any undertakings of significance prior to their implementation, and specifically :

  • The strategic, financial, scientific and human resource direction of the company ;
  • Undertakings that go beyond the publicly stated strategy of the company ;
  • The licensing by the company of any of its intangible assets, or the acquisition of a license to intangible assets belonging to a third party ;
  • The award of a mandate to sell the company to an investment bank ;
  • All decisions relating to secondary capital raising.

 

The board undertakes such controls and checks as it deems appropriate and has the power to access whatever documents it thinks useful for the accomplishment of its functions.

Neovacs’ Board consists of nine experienced directors, coming from varied professional backgrounds. Three Board Members are Independent Directors.

A Director’s term of office is six years, with re-election permitted. Persons over 75 years of age, excluding the Company’s founders, may not serve as Directors.

The Board meets six or seven times per year.
